Terms & Conditions
These Terms & Conditions apply to all quotes, orders, sales, products, and services provided by RSMROUSA, LLC. By placing an order, submitting a purchase order, accepting a quote, or purchasing products from RSMROUSA, the purchaser agrees to these Terms & Conditions.
1. Definitions
​“RSMROUSA” means RSMROUSA, LLC and any trade name under which it may operate. “Purchaser” means the person, company, or organization purchasing, requesting, or receiving a quote for products or services from RSMROUSA.

2. Terms Governing Sale
​All sales are subject to these Terms & Conditions. Any terms or conditions included in a purchase order, customer document, oral communication, or other agreement that conflict with these Terms & Conditions will not apply unless accepted in writing by an authorized representative of RSMROUSA.

3. Quotes and Pricing
​All quotes are subject to product availability, supplier pricing, manufacturer availability, and final confirmation by RSMROUSA. Unless otherwise stated in writing, quotes may expire after 30 days. Prices do not include shipping, freight, taxes, duties, insurance, or special handling charges unless specifically stated. RSMROUSA reserves the right to correct pricing errors, update pricing, or decline any order before final acceptance.

4. Order Acceptance
​An order is not considered accepted until confirmed by RSMROUSA in writing. RSMROUSA reserves the right to accept, reject, or cancel any order before shipment or final fulfillment.

5. Shipping and Delivery
​Shipping dates and delivery estimates are approximate and are not guaranteed. Shipping availability, cost, and delivery time may vary depending on product size, weight, stock status, destination, and carrier service. Risk of loss may pass to the purchaser once the product is delivered to the carrier, freight provider, or purchaser’s delivery location, depending on the shipping method. Claims for loss, delay, or damage during transit may be subject to the carrier’s claim process. Please review our Shipping Policy for additional details.

6. Payment Terms
​Payment terms will be stated on the quote, invoice, or order confirmation. RSMROUSA may require full payment before processing, purchasing, shipping, or delivering an order. For approved credit accounts, payment is due according to the terms stated on the invoice. Past-due amounts may be subject to late fees, collection costs, attorney fees, or other costs permitted by law.

7. Credit
RSMROUSA may, at its sole discretion, approve, modify, suspend, or cancel credit terms at any time. If RSMROUSA determines that a purchaser’s financial condition does not justify credit terms, RSMROUSA may require full or partial payment before order processing, shipment, or delivery.
8. Cancellations
Order cancellations must be requested by the purchaser and approved by RSMROUSA in writing. Cancellation requests may be subject to costs already incurred, including supplier charges, manufacturer charges, special-order fees, processing fees, shipping charges, or other related expenses. Orders that have already shipped, special-order items, non-stock items, or custom products may not be eligible for cancellation.

9. Returns and Exchanges
​Returns and exchanges must be requested by the purchaser and approved by RSMROUSA in writing before any product is returned. Unauthorized returns may not be accepted. Approved returns may be subject to restocking fees, inspection fees, handling fees, shipping costs, manufacturer return policies, or other related charges. Special-order, non-stock, custom, cut-length, installed, used, damaged, or altered products may not be eligible for return. Returns may not be accepted after 60 days from the date of shipment. 10. Product Information
Product descriptions, images, specifications, availability, manufacturer information, and catalog details are provided for general reference only and may change without notice. The purchaser is responsible for confirming that the product is suitable for the intended application before purchase. RSMROUSA is not responsible for manufacturer specification changes, discontinued products, compatibility issues, installation issues, or purchaser selection errors.

11. Confirming Orders
​Written confirmation of phone, verbal, or previously submitted orders must be clearly marked as “confirming” to avoid duplicate shipments. If a confirmation is not clearly marked and a duplicate order is processed, the duplicate order may be treated as a separate order subject to these Terms & Conditions.

12. Claims
Any claim related to an order, shipment, shortage, damage, or delivery issue must be reported to RSMROUSA in writing within 10 days after delivery. Failure to report a claim within this time may constitute acceptance of the goods. Warranty-related claims may be subject to the manufacturer’s warranty process and time limits.

13. Warranties
​RSMROUSA does not manufacture the products it sells. Product warranties, if any, are provided by the original manufacturer and are subject to the manufacturer’s warranty terms, inspection process, and approval.
RSMROUSA makes no express or implied warranties, including any implied warranty of merchantability or fitness for a particular purpose, except as required by applicable law. RSMROUSA may assist purchasers with manufacturer warranty claims when applicable, but warranty approval is determined by the manufacturer.

14. Limitation of Liability
To the maximum extent permitted by law, RSMROUSA’s liability for any claim related to a product, order, quote, sale, shipment, or service shall not exceed the purchase price paid for the product giving rise to the claim.
RSMROUSA shall not be liable for indirect, incidental, consequential, special, punitive, or delay-related damages, including lost profits, downtime, labor costs, back charges, replacement costs, or business interruption.

15. Force Majeure
RSMROUSA shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including supply shortages, manufacturer delays, transportation delays, labor issues, natural disasters, fires, accidents, government actions, carrier delays, or other similar events.

16. Sales Representatives
No salesperson, representative, employee, or agent of RSMROUSA has authority to change, waive, or modify these Terms & Conditions unless the change is approved in writing by an authorized representative of RSMROUSA.

17. No Waiver
Failure by RSMROUSA to enforce any provision of these Terms & Conditions shall not be considered a waiver of any right or remedy. Any waiver must be made in writing to be effective.

18. Severability
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement
These Terms & Conditions, together with any applicable quote, invoice, order confirmation, Shipping Policy, Return & Exchange Policy, and written agreement approved by RSMROUSA, represent the entire agreement between RSMROUSA and the purchaser regarding the applicable transaction.

20. Governing Law
​These Terms & Conditions shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict of law rules.

21. Changes to These Terms
RSMROUSA may update these Terms & Conditions at any time. The version posted on our website or provided at the time of order confirmation will apply to the applicable order unless otherwise agreed in writing.
